Organizational Structure
The IMSA Alumni Association, legally exists as two distinct bodies: an unincorporated association with a governing constitution, and a registered non-profit corporation requiring updated by-laws. The intention of the following actions is to merge these separate units and formalize its legally operating bylaws.
III. Vote on Amendment to Constitution
The following Amendment to the Constitution is proposed which would allow the membership to formally dissolve the association. It requires a two-third vote of members present at the Annual Meeting to be adopted.
Article XI - Dissolution
The organization may be dissolved by a majority vote of the members present at any annual meeting or any special meeting called pursuant to Article Five of this Constitution or via online balloting held in conjunction with annual officer elections.
IV. Vote in Support of Proposed Bylaws
The proposed bylaws are presented to the alumni. These formalize the operating structure of the non-profit headed 15 Directors elected by alumni to serve on a Board serving staggered 2-year terms. Officers are to be appointed annually by the Directors.
The ASSOCIATION ANNUAL MEETING shall pause to allow the CORPORATION to meet.
V. Vote to Dissolve the Association
In furtherance to simplify our organization, and if Amendment XI - Dissolution was ratified, a vote will be taken to legally dissolve the Association. If the dissolution is unsuccessful, we shall proceed with our annual election.
During the IMSA Alumni Association Annual Meeting, the association is to elect Officers and At-Large Members for the upcoming service year. The following positions are up for election:
Vice President (2-year term: August 31, 2026-August 31, 2028)
Treasurer (2-year term: August 31, 2026-August 31, 2028)
At-Large Member (up to eleven may be elected; 1-year term: August 31, 2026-August 31, 2027)

The date of the next IMSA Alumni Association Annual Meeting has not yet been determined but will take place during Summer 2027. Additionally, the date of Reunion Weekend in 2027 is also undecided, but is anticipated to fall on July 17, 2027. Milestone reunions for the classes of 1992 (35 years), 1997 (30 years), 2002 (25 years), 2007 (20 years), 2012 (15 years), 2017 (10 years), and 2022 (5 years) are expected to take place.

During the IMSA Alumni Association Annual Meeting, eligible members vote to elect Directors to serve on the Board. During this Initial Annual Meeting under the newly ratified bylaws, fifteen Directors are elected to serve either a 1-year a 2-year term beginning upon the certification of today's election and ending on July 31, 2027 or July 31, 2028.

The Corporation may confer Honorary Membership upon any individual by a majority vote of the Members present and voting at an Annual Meeting.
